1. Identification
The software services of the Fullyn suite (hereinafter "the Services") are published by HIGH TEE SRL, with registered office at Rue de Hayen, 23, 4130 Esneux, Belgium, registered with the BCE under number BE 0768 470 622 (hereinafter "Fullyn"). Contact email: info@myfullyn.com
2. Object and Scope
These terms and conditions govern the access to and use of all modules of the Fullyn suite, including but not limited to:
Fullyn Core: Administrative and HR management.
Fullyn Field: Site monitoring and time tracking.
Fullyn Ventory: Stock and equipment management.
Fullyn Track: Geolocation and fleet tracking.
The Client (B2B professional only) subscribes to one or more of these modules via a specific Purchase Order or online activation.
3. Access to Services
Fullyn grants the Client a non-exclusive right of use, accessible via the Internet.
Free Modules (Free Editions): Provided "AS IS", without any warranty of availability or support.
Paid Modules (Pro Editions): Provided with an "obligation of means" (best efforts) to ensure availability and data security.
4. Liability and Limitations
4.1. Role of Fullyn: Fullyn provides management support tools. Fullyn does not replace the Client's legal, social, or tax obligations (e.g., payroll verification, social security declarations).
4.2. Exclusion of Liability: Fullyn declines all liability regarding:
The accuracy of data entered by the Client or its employees.
Loss of network connection (4G/5G/GPS) in the field affecting synchronization.
Disputes between the Client and its employees based on software data (time logs, geolocation).
4.3. Liability Cap: Fullyn's financial liability is strictly limited to the amount of fees paid by the Client for the relevant module during the 12 months preceding the event giving rise to the claim.
5. Financial Conditions
5.1. Pricing: The applicable rates are those in force on the day of subscription for each module.
5.2. Invoicing: Fullyn reserves the right to invoice all subscribed modules on a single or separate invoice.
5.3. Evolution of Modules: The Client accepts that the functionality of the modules may evolve. In the event of the removal of a major feature, the Client may terminate the contract without penalty.
6. Duration, Termination, and Governing Law
Duration: Indefinite with monthly or yearly automatic renewal.
Termination: The Client may terminate at any time via the portal; termination takes effect at the end of the current period.
Jurisdiction: These terms are governed by Belgian Law. In the event of a dispute, the Courts of Liege (Belgium) shall have exclusive jurisdiction.
